1. Acceptance of Terms

By accessing or using CalFirm's services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service. These Terms form a legally binding agreement between CalFirm ("we", "us", or "our") and you, as either a subscribing customer or Authorized User of the Service.

2. Description of Service

CalFirm provides a calendar appointment confirmation service that integrates with your existing calendar system to streamline appointment management.

3. User Accounts and Authorized Users

To use our Service, you must create an account using your Google account. You are responsible for maintaining the confidentiality of your Google account and password, and for all activities that occur under your account.

4. Service Plans and Payments

CalFirm offers different payment plans which vary in the volume of SMS messages, events, and calendars supported. By subscribing to a plan, you agree to pay the fees associated with that plan. Fees are payable in advance and non-refundable. We reserve the right to change our pricing upon notice to you.

5. Refund Policy

CalFirm does not offer refunds unless the application fails to perform its stated objective. You may cancel your subscription at any time, however, due to the volume nature of our plans, the payment for the current term will not be refunded.

6. Your Obligations

You agree to use the Service solely for your own internal and lawful business purposes and in accordance with these Terms and all applicable laws. You are responsible for obtaining all necessary consents for sending appointment reminders, maintaining your own backup of Customer Data, and ensuring the security of your account credentials.

7. Restrictions on Use

You must not attempt to undermine the security of the Service, use it to send unsolicited messages, or use it in any way that infringes on the rights of others or violates any laws.

8. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by CalFirm and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You retain all rights to your Customer Data.

9. Third-Party Services

Our Service uses Twilio to facilitate SMS messaging. By using our Service, you acknowledge and agree that Twilio may collect and process data as described in their privacy policy.

10. Privacy and Security

Please refer to our Privacy Policy for information on how we collect, use and disclose information from our users. You acknowledge and agree that your use of the Service is subject to our Privacy Policy.

11. Availability and Support

We will use reasonable efforts to make the Service available, but we do not guarantee continuous, error-free service. We may need to perform maintenance or updates that may cause temporary unavailability.

12. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service.

13. Warranties and Disclaimers

The Service is provided "as is" without warranty of any kind. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of Liability

To the fullest extent permitted by law, CalFirm shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

15. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. You may terminate your subscription at any time, effective at the end of your current billing period.

16. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

17. Governing Law

These Terms shall be governed and construed in accordance with the laws of California, without regard to its conflict of law provisions.
